Recruitment Terms of Service

These Recruitment Terms of Service (“Terms”) govern the relationship between Diaspora Talent (“Service Provider”) and [Client Company Name] (“Client”) regarding candidate sourcing, recruitment, and placement services.

1. Candidate Introduction

Any resume, curriculum vitae (CV), profile, or candidate information shared by Diaspora Talent with the Client shall constitute a formal candidate introduction.

Candidates introduced by Diaspora Talent remain under the exclusive representation of Diaspora Talent for a period of twelve months (12) months from the date of introduction.

2. Placement Fee

If the Client hires, engages, or enters into any form of employment or contractual relationship with a candidate introduced by Diaspora Talent within the candidate ownership period, the Client agrees to pay the applicable recruitment placement fee.

This applies to all forms of engagement including but not limited to:

  • Full-time employment
  • Contract roles
  • Freelance engagements
  • Consulting arrangements
  • Part-time work

3. Non-Circumvention

The Client agrees not to circumvent, bypass, or attempt to bypass Diaspora Talent by directly or indirectly engaging candidates introduced by Diaspora Talent without the involvement of the Service Provider.

If a candidate introduced by Diaspora Talent is hired directly or indirectly within the ownership period, the full recruitment fee shall remain payable.

4. Confidentiality

All candidate information provided by Diaspora Talent is confidential and is shared solely for the purpose of evaluating the candidate for potential employment.

The Client agrees not to:

  • Share candidate profiles with third parties
  • Forward CVs to other organizations
  • Use candidate information for any purpose other than recruitment evaluation without prior written consent from Diaspora Talent.

5. Interview Coordination

Diaspora Talent will coordinate interview scheduling between the Client and shortlisted candidates. The Client agrees to provide timely feedback following interviews to facilitate an efficient hiring process.

6. Replacement Policy

In the event that a candidate placed through Diaspora Talent leaves the Client’s employment within 60 days of the start date, Diaspora Talent may provide a replacement candidate at no additional cost, subject to availability and the Client meeting all payment obligations.

7. Payment Terms

Placement fees shall become payable upon candidate’s acceptance of the employment offer or commencement of employment, whichever occurs first.

8. Management of Talents

Diaspora Talent shall manage the talents for a period of three months (90 days) after which the client will take full ownership of the process. Under a special arrangement, Diaspora Talent can extend this management service(s).

9. Acceptance of Terms

By reviewing, interviewing, or engaging with candidates introduced by Diaspora Talent, the Client acknowledges and agrees to these Recruitment Terms of Service, whether or not a separate written agreement has been signed.

10. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the United States of America.
